Legal Due Diligence of Russian Business Partners

Understand the legal risks before signing a contract, paying an advance or investing in a Russian business. The review is designed around the counterparty, the proposed transaction and the decision you need to make.

When to contact us

  • You are considering a Russian supplier or customer.
  • An advance payment is requested before key documents are available.
  • You plan to acquire an interest in a Russian company.
  • Your advisers need an independent Russian legal assessment.

What the engagement may include

  • Registration and status; available ownership information and authority of signatories.
  • Corporate approvals and permissions relevant to the proposed activity.
  • Available litigation, enforcement and insolvency information.
  • Transaction documents and material restrictions within the agreed scope.

What you receive

A dated report or legal opinion identifies the scope, sources, verified facts, conclusions, legal risks, information gaps and recommended next steps. Findings can inform contractual safeguards, additional document requests or a decision to pause the transaction.

The review uses lawfully available sources and supplied documents. It is not a financial audit, credit rating or guarantee of performance. Closed information may be unavailable; a limited search must not be presented as a complete picture.

Getting started

First identify the parties’ roles, the Russian connection and any deadline without sending confidential documents. After the conflict check, the scope, documents, timetable and fee are agreed. Advice is tied to the facts and materials supplied.

  1. Send a brief first enquiry and identify the Russian issue.
  2. We check whether the engagement can be accepted, including conflicts and communication arrangements.
  3. Agree the scope and price of a consultation or initial assessment before it takes place.
  4. Agree further work, fees, expenses, authority and engagement documents.
  5. Carry out the work, discuss key decisions, report progress and deliver agreed results.

Working across borders

The engagement covers Russian law. Foreign-law questions, translation, certification and the participation of local advisers are agreed as needed. The language of this page does not imply a foreign professional qualification.

Questions before you start

Can we review a partner before an advance payment?

Yes. Explain the proposed payment and timetable so that the scope can focus on the decision you face. Availability and timing are agreed before work begins.

Is this a financial audit?

No. Legal status, authority and legal risks are assessed. Accounting accuracy, valuation and financial assurance require a separate specialist.

What if documents are missing?

The report identifies the gap and its effect on the conclusions. Further documents or a narrower conclusion may be necessary.

Does a clear report guarantee performance?

No. The assessment is limited by its date, scope and sources. It cannot guarantee future conduct or payment.
